1. Who we are

These terms govern the use of nexus-optronics.com and any enquiry, briefing or correspondence sent through it.

The only contracting party is:

NEXUS Optronics EOOD is a limited-liability company (EOOD) under Bulgarian law. Its manager, directors, employees, contractors and its owner act exclusively in a corporate capacity when the company deals with you. No such person accepts a personal contract, personal warranty, personal guarantee or personal duty of care to you through this site. Every claim arising from the site, from an enquiry, from a quotation or from any correspondence sent through it is a claim against NEXUS Optronics EOOD only, and you agree not to bring, assert or maintain any claim of any kind against a director, manager, employee, contractor or owner of NEXUS Optronics EOOD personally, to the maximum extent permitted by applicable law.

2. Who this site is for

This site is for professional buyers only: law-enforcement and defence authorities, system integrators, authorised distributors and institutional programmes.

It is not a consumer shop. It is not an offer to the public. Nothing on the site is an invitation to treat with private individuals for personal use.

3. No contract is formed on the site

Pages, drawings, photographs, mission texts and published descriptions are information only.

A contract exists only when NEXUS Optronics EOOD issues a written quotation and the buyer accepts it in writing. Specifications, configurations, accessories, lead times and prices in a partner briefing or on this site are not binding until they appear in that written quotation.

4. Dual-use and export control

NEXUS products and related technical data may be items or technology with dual-use or defence-related character under Regulation (EU) 2021/821, the Bulgarian Export Control Act and other applicable EU and national rules.

Submitting an enquiry, a briefing request or any correspondence through this site or by email is your acceptance, on your own behalf and on behalf of the organisation you represent, of this section 4 in full, and you confirm you have authority to give that acceptance for that organisation. By submitting an enquiry you warrant that:

• you act for a lawful professional end user;
• you will not divert, re-export or transfer the goods or any related technical data to a restricted party, a prohibited destination, or an unauthorised end use;
• you will provide end-user, end-use and destination information when asked;
• you accept that we may refuse, suspend or cancel any discussion, quotation or delivery where screening, licensing or law requires it.

Technical data and hardware are released only after screening. Nothing on this site is an offer where an authorisation is required and has not been granted.

You and, where you act for an organisation, that organisation, jointly and severally indemnify and hold harmless NEXUS Optronics EOOD, its manager, directors, employees, contractors and owner against all loss, liability, fines, penalties, costs and reasonable legal fees arising out of or connected with your breach of this section, including any breach discovered after a discussion, quotation or delivery has closed.

5. Classification, controlled data and secrecy

Do not send classified, controlled or operationally sensitive data through the contact form or by unsecured email. We may delete such material without using it. A proper channel will be agreed after qualification.

6. Intellectual property

All marks, texts, photographs, drawings and layouts on this site belong to NEXUS Optronics EOOD or its licensors. You may not copy, scrape, reverse-engineer descriptions or reuse them in a tender file without prior written consent.

NEXUS, NEXUS TETRA and SEE FIRST. ACT FIRST. WIN FIRST. are used as designations of the company and its first product family.

7. Liability

To the maximum extent permitted by Bulgarian and EU law:

• the site is provided as is;
• we are not liable for loss of profit, loss of contract, loss of data, procurement delay or any indirect or consequential loss;
• any liability of NEXUS Optronics EOOD connected with use of the site or an enquiry through it is limited to EUR 500 in aggregate for all claims arising from the same event or series of connected events, regardless of the number of claims or claimants and regardless of the legal basis of the claim (contract, tort, statute or otherwise);
• the directors, the manager, employees, contractors and the owner of NEXUS Optronics EOOD have no personal liability to you for content on this site, for an enquiry submitted through it, for a quotation, or for any dealing with you, and you release and forever discharge each of them from any claim you may have against them personally in that connection, save where such release is void by law.

This section does not exclude liability that cannot be excluded by law, including liability for wilful misconduct where such exclusion is void.

A signed supply contract, when one exists, replaces this cap for that contract.

8. Personal data

NEXUS Optronics EOOD is the controller of personal data submitted through this site. Processing is described in the Privacy Policy. The Cookie Policy describes cookies actually used.

We process professional contact data to qualify enquiries, screen end use and keep records required by export-control and accounting law. We do not sell personal data.

9. Governing law

These terms, and any dispute or claim arising out of or in connection with them, their subject matter, formation or an enquiry sent through the site (including non-contractual disputes), are governed by the law of the Republic of Bulgaria, excluding its conflict-of-laws rules. The Bulgarian court with jurisdiction over the seat of NEXUS Optronics EOOD has exclusive jurisdiction. Where a public-authority buyer's own procurement or administrative rules mandatorily require a different forum for a specific dispute, only that dispute is carried before that mandatory forum; every other matter, and every dispute with any other buyer, remains subject to the exclusive jurisdiction in this clause.

10. Changes

We may update these terms on this page. The date above is the effective date. Continued use of the site after that date is acceptance of the current text.
